Applicability
These terms apply to all quotes, assignments and services from CleanByte (We Fix Boring S.R.L.), unless agreed otherwise in writing. By accepting a quote or placing an order, you agree to these terms.
Quotes
Quotes are valid for 30 days from issue date, unless stated otherwise. A quote is non-binding until accepted in writing (email counts) by both parties.
Payment
Invoices are payable within 14 days of invoice date, unless agreed otherwise. Statutory interest applies after the payment term. We may suspend work for overdue payments.
Retention of title
All code, design, documentation and deliverables remain property of CleanByte until full payment. After full payment, agreed usage rights transfer to the client.
Liability
Our liability is limited to the invoiced amount of the relevant project, with a maximum of €25,000 per event. We are not liable for indirect damage, lost profit or data loss, except in case of intent or gross negligence.
Third-party intellectual property
The client guarantees that supplied content (text, logos, images) does not infringe third-party rights. The client indemnifies CleanByte against claims arising from client-supplied material.
Governing law and disputes
Dutch law applies. Disputes are submitted to the competent court in Limburg (Netherlands), unless parties agree otherwise in writing.
